Vendor Terms and Conditions

Welcome to Ouenzé!

These Terms and Conditions (“Terms”) govern your use of the Ouenzé marketplace platform (“Platform”) as a vendor (“you” or “Vendor”). By registering as a Vendor on the Platform, you agree to be bound by these Terms.

1. Eligibility

• You must be at least 18 years of age and have the legal capacity to enter into a binding contract.
• Your business must be legally registered and comply with all applicable laws and regulations of the Democratic Republic of Congo (DRC) or your country of operation.
• You are solely responsible for the accuracy, completeness, and legality of all information you provide to Ouenzé.

2. Products and Listings

• You may only list products on the Platform that are:
  • Authentic and ethically sourced.
  • In compliance with Ouenzé’s product guidelines (available on the Platform).
  • Not prohibited by law or Ouenzé’s policies.
• You are responsible for the accuracy and completeness of your product listings, including descriptions, pricing, and availability.
• You are responsible for ensuring that your products comply with all applicable consumer protection laws and regulations.

3. Pricing and Payment

• You set the pricing for your products.
• Ouenzé charges a commission fee on each sale made through the Platform (commission rate will be displayed during registration).
• You are responsible for collecting and remitting any applicable taxes on your sales.
• Ouenzé will process payments from customers and deposit your earnings into your designated account after deducting the commission fee.

4. Orders and Fulfillment

• You are responsible for fulfilling all orders placed through the Platform in a timely and professional manner.
• You must ship orders within the timeframe specified in your listing or as agreed with the customer.
• You are responsible for providing accurate tracking information to Ouenzé and the customer.
• Ouenzé is not responsible for any delays or losses in shipping.

5. Customer Service

• You are responsible for providing excellent customer service to all customers who purchase your products through the Platform.
• You must respond promptly to customer inquiries and complaints.
• You are responsible for resolving any customer disputes related to your products or services.

6. Intellectual Property

• You retain ownership of all intellectual property rights associated with your products.
• By listing your products on the Platform, you grant Ouenzé a non-exclusive, royalty-free license to use your product images, descriptions, and other listing content for the purpose of promoting your products on the Platform.

7. Termination

• Ouenzé may terminate your account or suspend your access to the Platform at any time for any reason, with or without notice.
• You may terminate your account at any time by contacting Ouenzé.

8. Disclaimer

• Ouenzé does not guarantee the success of your sales on the Platform.
• Ouenzé is not responsible for any damages caused by your use of the Platform.

9. Limitation of Liability

• Ouenzé’s liability to you for any claim arising out of these Terms shall not exceed the total amount of commission fees earned by Ouenzé from your sales on the Platform during the preceding three (3) months.

10. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of the Democratic Republic of Congo.

11. Dispute Resolution

• Any dispute arising out of or relating to these Terms shall be submitted to binding arbitration in accordance with the rules of a reputable arbitration organization.

12. Entire Agreement

• These Terms constitute the entire agreement between you and Ouenzé regarding your use of the Platform.

13. Amendment

• Ouenzé may amend these Terms at any time by posting the revised Terms on the Platform.
• Your continued use of the Platform after the posting of the revised Terms constitutes your acceptance of the revised Terms.

14. Severability

• If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Waiver

• No waiver by Ouenzé of any breach of these Terms shall be deemed a waiver of any subsequent breach.
